Terms of Service

These Terms of Service (“Terms”) govern your access to and use of primeverifier.com (the “Site”) and the email verification, list cleaning, API, and related services offered by Prime Verifier (“Prime Verifier”, “we”, “us”, or “our”), together the “Services”. The Services are provided by Nexaris Inc, registered in Texas.

By creating an account, accessing the Site, or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other organization, you confirm that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Services.

1. The Services

Prime Verifier verifies email addresses and cleans email lists. The Services check whether an address is syntactically valid, whether its domain and mailbox can receive mail, whether it is a catch-all, disposable, or role address, and they assign an AI-based risk score. We offer single verification, bulk list processing, native integrations, and a REST API.

Email verification is a probabilistic process. We use multiple validation layers to return the most accurate result possible, but no verification service can guarantee that every result is correct or that a verified address will accept or read your mail. Some mail servers deliberately accept all addresses, block verification attempts, or behave inconsistently. We return an “unknown” result when a definitive verdict cannot be reached, and you are not charged for those results. You accept that results are provided to help you make decisions, not as a guarantee of deliverability.

2. Accounts

To use most features you must create an account. You agree to provide accurate information and to keep it current. You are responsible for everything that happens under your account, including activity by your team members and anyone using your API keys. Keep your password and API keys confidential. Tell us immediately at [email protected] if you suspect any unauthorized access. We are not liable for losses caused by someone using your credentials with or without your knowledge.

You must be at least 18 years old and able to form a binding contract to use the Services.

3. Credits, plans, and billing

The Services run on credits. You can buy credits as a one-time top-up or through a monthly plan. Specific pricing, credit rates, and plan details are shown at primeverifier.com/pricing and may change over time.

• Charging. You are charged one credit for each definitive verification result. Unknown and error results are not charged.
• Top-ups. One-time credits do not expire and remain available in your balance until used.
• Subscriptions. Monthly plans renew automatically until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Credits included in a plan are governed by the terms of that plan.
• Taxes. Prices exclude taxes unless stated otherwise. You are responsible for any applicable taxes.
• Refunds. Credits and payments are non-refundable except where required by law or where we agree otherwise in writing. Unused credits are not redeemable for cash.
• Failed payments. If a payment fails, we may suspend or limit your access until the balance is settled.

We may change prices on a forward-looking basis. Changes do not affect credits you have already purchased.

4. Acceptable use

You agree to use the Services lawfully and only with email data you have the right to process. You must not:

• Submit data you obtained unlawfully, or data you have no lawful basis to verify.
• Use the Services to support spam, phishing, fraud, harassment, or any deceptive or unlawful sending practice.
• Verify lists for the purpose of sending unsolicited bulk email in violation of anti-spam laws such as the CAN-SPAM Act, GDPR, CASL, or any other applicable law.
• Resell, sublicense, or expose the Services to third parties as your own without our written permission.
• Reverse engineer, scrape, copy, or attempt to derive the source code or underlying logic of the Services, except to the extent the law expressly permits.
• Probe, scan, overload, or interfere with the Services or the infrastructure behind them, or bypass any rate limit, quota, or security control.
• Use the Services to build a competing product or to benchmark them for a competitor without our consent.

You are responsible for having a lawful basis to verify the email data you submit and for honoring the rights of the individuals behind that data. We may suspend or terminate access, with or without notice, if we reasonably believe you have breached this section, and we may report unlawful activity to the relevant authorities.

5. API and rate limits

If you use the API, you must follow our documentation at primeverifier.com/docs, including any rate limits, quotas, and authentication requirements. We may set, change, or enforce rate limits to protect the platform. We may also modify or deprecate API endpoints, and we will give reasonable notice of breaking changes where practical. You are responsible for handling errors, retries, and idempotency in your own integration as documented.

6. Your data and privacy

Our handling of personal data is described in our Privacy Policy. For the email data you submit for verification, you act as the data controller and we act as the data processor. We process that data only to deliver the results you request and do not sell it or use it for our own marketing. A Data Processing Agreement is available on request at [email protected]. You retain all rights in the data you submit. You grant us the limited rights needed to process it and to deliver the Services to you.

7. Intellectual property

The Services, the Site, our software, branding, documentation, and all related intellectual property belong to Prime Verifier or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription, for your own business use, subject to these Terms. Nothing in these Terms transfers any ownership to you. You may not use our name, logo, or trademarks without our written permission.

8. Third-party integrations

The Services can connect to third-party tools and platforms. Those tools are operated by others, and your use of them is governed by their own terms. We are not responsible for third-party services, their availability, or anything that happens within them.

9. Service availability

We aim to keep the Services available and reliable, and we publish uptime targets where applicable. Even so, the Services may be unavailable from time to time for maintenance, updates, or reasons beyond our control. We may modify, suspend, or discontinue any part of the Services, and we will give reasonable notice of material changes where practical. We are not liable for any unavailability or for changes to features.

10. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that verification results will be complete or accurate in every case. You use the Services and rely on their results at your own discretion and risk.

11. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, even if we were advised that such damages were possible.
• Our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount you paid us for the Services in the three months immediately before the event that gave rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case our liability is limited to the smallest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Prime Verifier, its officers, employees, and agents from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising from your use of the Services, your data, or your breach of these Terms or of any law, including data protection and anti-spam law.

13. Suspension and termination

You can stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services in a way that creates risk or legal exposure for us or others. On termination, your right to use the Services ends. Sections that by their nature should survive, including those on payment owed, intellectual property, disclaimers, limitation of liability, and indemnification, will continue to apply.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and notify you by email or through the Services where appropriate. Your continued use of the Services after the changes take effect means you accept the updated Terms. If you do not agree, stop using the Services.

15. Governing law and disputes

These Terms are governed by the laws of Texas, without regard to conflict-of-law rules. You agree that the courts of Texas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, unless mandatory law in your country of residence provides otherwise. Before bringing any formal claim, you agree to contact us first so we can try to resolve the matter directly.

16. General

These Terms, together with the Privacy Policy, Cookie Policy, any DPA, and any order or plan you accept, make up the entire agreement between you and Prime Verifier regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
